Business Operations

• Counsel and advise business teams to minimize business, financial, and legal risks
• Work with internal business teams and IT to ensure PCI and Privacy compliance

Contracts

• Draft Master Services Agreements, SOWs, SLAs, NDAs and other contracts
• Review and negotiate contracts with partners, clients, vendors, and subcontractors
• Oversee contract management, compliance and enforcement

HR & Employment Matters

• Provide legal oversight and guidance on recruitment, backgrounding, drug screening, and hiring
• Investigate and respond to WC, unemployment claims, and other worksite risks
• Draft and maintain employee handbooks and policies
• Draft employment offers, contracts, and severance agreements
• Review and advise on employment-related claims, disciplinary matters and terminations
• Advise on Reductions In Force (RIFs) and WARN Act
• Investigate, respond and resolve EEOC complaints
• Evaluate and advise on ADA, FMLA, Sexual Harassment, Discrimination, Retaliation and FLSA issues and claims

Risk Management

• Obtain and ensure proper insurance coverages and limits to address coverage needs
• Evaluate contracts and claims for risk transfer strategy
• Utilize effective claim procedures and review to properly reduce loss exposures
• Draft and implement Safety Programs and Manuals
• Review operational procedures to assess for risk (Examples – FCRA, TCPA, FLSA)
• Coordinate directly with clients to address and resolve claims or matters with potential legal or public relations impacts.

Corporate Compliance

• Entity formation and registration
• Compliance with local, state, and federal regulatory agencies
• Licensing

Litigation

• Manage litigation matters, including assessment of exposure (Collective Actions, Class Actions,FLSA and Arbitrations)
• Negotiate settlement agreements and releases
• Retain and manage outside counsel for pending litigation matters
• Respond to consumer complaints filed with BBB or State Attorney General offices
